FREE TRIAL PERIOD ADDENDUM

Effective August 18, 2026

This Free Trial Period Addendum (“Promotion Addendum”) is entered into by and between Grubhub Holdings Inc. (“Grubhub” or “GH”) and the restaurant identified below (“Restaurant”) as of the date last signed below (“Effective Date”). The Promotion Addendum governs the Free Trial Period Promotion (“Promotion”) offered by GH to select restaurants as well as Restaurant’s participation therein. Each of GH and Restaurant are referred to herein as a “Party,” and together, as the “Parties.” The Promotion Addendum incorporates the terms of the Restaurant Agreement entered into by and between GH and Restaurant, including the Grubhub Restaurant Terms available at https://get.grubhub.com/legal/restaurant-terms (the “Restaurant Terms”). Capitalized terms used but not defined herein will have the meanings ascribed to them in the Restaurant Agreement. 

GH hereby agrees to offer Restaurant the following Commissions on standard online orders (the “Trial Commissions”) placed on the Grubhub and Seamless platforms only during the trial period set forth below (the “Trial Period”). The Trial Commissions do not apply to catering orders, group orders, or Grubhub Direct orders. The Trial Commissions only apply to the Restaurant location identified below and are not transferable to other Restaurant locations, except as may be permitted by GH in its sole discretion.

  1.     Trial Commissions:
    • a.    Marketing Commission: 0%
    • b.    Delivery Commission: 0%
  1. Trial Period: The Trial Period begins on the date Restaurant goes “live” on the GH Platform by accepting and preparing orders placed on the GH Platform, and ends on December 31, 2026. Upon the expiration or earlier termination of the Trial Period pursuant to the terms hereof, the Trial Commissions will cease to apply, and the Commissions set forth in the Restaurant Agreement will resume without requiring further notice or action by Grubhub. The Trial Period will not be extended in the event Restaurant ceases accepting orders or is paused or suspended on the GH Platform, except as may be permitted by GH in its sole discretion.
  2.     Trial Location: The Trial Commissions are only valid for Restaurant Locations in Houston, Texas, Dallas, Texas, and certain surrounding areas, as determined by Grubhub in its sole discretion, signing their initial merchant agreement with Grubhub (excluding existing active accounts). All other Restaurant Locations shall be subject to the Commissions set forth in the Restaurant Agreement.
  3.     Additional Terms:
    • a.    Offer is limited to one (1) promotional application per merchant entity or location, and must be applied by an authorized member of the Grubhub Merchant Network sales team at the time of contract execution, or in Grubhub’s sole discretion.
    • b.     This promotion applies solely to Grubhub marketing and delivery commissions; standard order processing fees (currently 3.05% plus $0.30), customer service fees, any applicable hardware fees, optional add-on services, taxes, and any other non-commission fees outlined in the Restaurant Agreement remain fully applicable and will be applied at standard rates throughout the Promotional Period.
    • c.    This offer is non-transferable, non-substitutable, cannot be combined with any other promotional offer or discount, transferred for value, or redeemed for cash.
    • d.    Restaurant’s participation in the promotion precludes Restaurant from accepting or participating in any other promotional sales offers that may be offered by Grubhub unless otherwise permitted by Grubhub in its sole discretion

 Unless otherwise permitted by GH in its sole discretion, Restaurant may only participate in the Promotion one time (for example, if Restaurant terminates the Restaurant Agreement, then Restaurant may not be eligible to participate in the Promotion a second time). GH reserves the right to cancel, suspend and/or modify the Promotion, or any part of it (including without limitation the Trial Commissions or Trial Period), for any reason at any time, including, without limitation, if any fraud or technical failure impairs the integrity or proper functioning of the Promotion. GH may provide notice of Promotion cancellation, suspension, or modification by posting at lp.grubhub.com/legal/freetrialperiodpromo. Except as otherwise specified herein, the terms and conditions of the Restaurant Agreement will remain in full force and effect.
